CloboticsRetail Terms of Use

1. Acceptance of These Terms

These Terms of Use ("Terms") are a legal agreement between you and Clobotics Corporation ("Company", "we", "us", or "our"). By accessing or using CloboticsRetail or any related website, application, dashboard, data experience, or service (collectively, the "Service"), you agree to these Terms.

If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes both you and that organization. If you do not agree to these Terms, do not access or use the Service.

2. The Service

CloboticsRetail provides retail promotion analytics, offer-level weekly ads intelligence, store layout visualization, customer application workflows, account access, and related business tools. Some features may be available only to approved users, customers, administrators, or invited business partners.

We may modify, suspend, or discontinue any part of the Service at any time, subject to any separate written agreement between Clobotics Corporation and a customer organization.

3. Eligibility and Accounts

The Service is intended for business use by individuals who are at least 18 years old or the age of majority in their jurisdiction. You may need an approved account to access protected features.

• You must provide accurate, current, and complete account or application information.
• You are responsible for maintaining the confidentiality of your credentials and for activity under your account.
• You must promptly notify us of any unauthorized access or suspected security issue.
• We may approve, reject, suspend, or terminate account access to protect the Service, comply with law, or administer customer access.

4. Authorized Use

You may use the Service only for lawful internal business purposes and only as permitted by these Terms, the applicable documentation, and any written agreement between Clobotics Corporation and your organization.

You agree not to:

• Use the Service for unlawful, harmful, deceptive, abusive, or unauthorized purposes.
• Attempt to gain unauthorized access to accounts, systems, data, or networks.
• Interfere with or disrupt the security, integrity, availability, or performance of the Service.
• Reverse engineer, decompile, scrape, crawl, copy, or extract the Service except as expressly permitted by law or written agreement.
• Upload or transmit malware, malicious code, or content that infringes or violates rights of others.
• Share protected dashboards, credentials, confidential data, or non-public outputs with unauthorized parties.
• Use the Service to develop or benchmark a competing product without our written permission.

5. Customer Data and Third-Party Data

The Service may display, process, or analyze retail, promotion, store, brand, category, customer organization, or third-party data. You are responsible for ensuring that you have the rights and permissions needed for any data, content, or instructions you provide to the Service.

Data and outputs made available through the Service may be incomplete, delayed, estimated, or based on third-party sources. You should independently verify information before relying on it for pricing, promotion, operational, legal, financial, or other material decisions.

6. Intellectual Property

The Service, including software, interfaces, designs, documentation, dashboards, visualizations, models, workflows, trademarks, logos, and other materials, is owned by Clobotics Corporation, its affiliates, or licensors and is protected by intellectual property and other laws.

Subject to these Terms and any applicable written agreement, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Service for authorized business purposes. No rights are granted except as expressly stated.

7. Feedback

If you provide suggestions, comments, ideas, or other feedback about the Service, you grant us a perpetual, worldwide, royalty-free right to use that feedback without restriction or compensation, provided we do not identify you as the source without permission.

8. Privacy

Our collection and use of personal information is described in the CloboticsRetail Privacy Policy. By using the Service, you acknowledge that we process personal information as described in that policy.

9. Third-Party Services and Links

The Service may integrate with or link to third-party services, including authentication, mapping, analytics, email, cloud hosting, and other service providers. Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party services unless expressly stated in a separate written agreement.

10. Confidentiality

The Service may include non-public product information, customer data, business information, analytics, technical materials, or other confidential information. You must protect confidential information from unauthorized use or disclosure and use it only for authorized purposes.

11. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and error-free operation.

Analytics, dashboards, promotional insights, store layout views, demonstrations, and other outputs are provided for business information and decision support only. They are not legal, financial, accounting, tax, operational, or professional advice.

12. Limitation of Liability

To the maximum extent permitted by law, Clobotics Corporation and its affiliates, officers, directors, employees, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or loss of goodwill arising from or related to the Service or these Terms.

To the maximum extent permitted by law, our total liability for any claim arising from or related to the Service or these Terms will not exceed the greater of one hundred U.S. dollars (US $100) or the amount paid by you to us for the Service giving rise to the claim during the three months before the event giving rise to liability, unless a separate written agreement states otherwise.

13. Indemnification

You agree to defend, indemnify, and hold harmless Clobotics Corporation and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against claims, liabilities, damages, losses, and expenses arising from your use of the Service, your data or content, your violation of these Terms, or your violation of law or third-party rights.

14. Suspension and Termination

We may suspend or terminate access to the Service if we believe you violated these Terms, your account is no longer authorized, your organization requests access changes, continued access creates risk, or suspension is needed to comply with law or protect the Service.

Sections that by their nature should survive termination will survive, including provisions regarding intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.

15. Changes to These Terms

We may update these Terms from time to time. The updated version will be indicated by a new "Last updated" date and will be effective when posted unless otherwise stated. Your continued use of the Service after changes become effective means you accept the updated Terms.

16. Governing Law

These Terms are governed by the laws of the State of Washington, United States, without regard to conflict of laws rules, unless a separate written agreement between Clobotics Corporation and a customer organization provides otherwise.
